Description

As our Vice President Counsel (Contracts) in the Legal department, you will play a crucial role in providing legal advice and support on contract matters, with a focus on technology-related agreements, intellectual property, and data privacy. You will be instrumental in developing and implementing corporate policies and procedures related to contracting, ensuring alignment with our business objectives and risk mitigation strategies.
The successful applicant will have a hybrid work arrangement, but must reside within a 125-mile radius of the AAA's office located in Downtown Manhattan. The starting salary range for the position is $159,000 - $168,000, plus an annual incentive opportunity targeting up to 20% of the base salary. 
 
Key Responsibilities
  • Provide legal advice on contracts supporting AAA's operations and strategic initiatives
  • Develop, implement, and oversee corporate contracting policies and procedures
  • Negotiate, draft, and review commercial contracts, leases, and agreements, with emphasis on:
    • Licensing
    • Intellectual property
    • Technology-related contracts (software, hardware, cloud services, and AI-based solutions)
  • Ensure contract compliance with data privacy laws (e.g., GDPR, CCPA) and implement appropriate data protection measures
  • Identify and mitigate legal and regulatory risks in contracts, particularly regarding emerging technology issues
  • Collaborate cross-functionally to advise on legal risks and best practices in contract negotiation
  • Serve as a subject matter expert on technology, privacy, AI-related legal issues, intellectual property, and licensing
  • Support due diligence efforts in technology-related M&A transactions
  • Develop and maintain contract templates and standard forms
  • Manage external counsel as needed
  • Implement compliance processes for contracting
  • Speak to various groups regarding ADR
  • Serve on AAA committees as assigned
  • Support the legal department in providing outstanding service to a global leader in ADR
Qualifications
  • J.D. degree from an accredited law school
  • Admission to the New York State Bar
  • Minimum 5 years of relevant legal experience, focusing on technology-related and intellectual property contracts
  • Experience in alternative dispute resolution (ADR) preferred

  • Proficiency in interpreting and applying data privacy laws and regulations

  • Ability to explain complex legal concepts to non-legal stakeholders
  • Strong attention to detail and organizational skills
  • Ability to work independently and as part of a team
  • Willingness to attend on-site meetings and training sessions
  • Commitment to maintaining regular, reliable, and predictable job attendance
